Norfolk Mortgage Trust was formed in 2006 to create an investment entity that earned a competitive return, was simple for investors to understand, and made conservative investments. The founders of the Unit Trust are shareholders and directors of the management company which has responsibility for the statutory role of Manager under the Financial Markets Conduct Act 2013. In addition they carry out operational tasks such as promoting the Trust, accepting deposits, investing funds and paying returns to investors. Covenant Trustee Services Limited is the statutory Supervisor for this unit Trust. Covenant was established in 1983 and operates as a specialist provider of statutory supervision and trustee appointments under the Financial Market Conduct Act 2013. Covenant holds a licence pursuant to the Financial Markets Supervisors Act 2011. Covenant is independent from Norfolk and is responsible for acting on behalf of investors in relation to the manager and any matter connected to the trust deed.

The management company, Norfolk Mortgage Management Limited is licensed under the Financial Markets Conduct Act 2013 as a manager of managed investment schemes which invest primarily in registered mortgages in New Zealand. The manager is also registered as a financial service provider (FSP 31523) under the Financial Service Providers (Registration and Dispute Resolution) Act 2008. The Manager of the Trust is a financial institution within the definitions of the above legislation, and accordingly is a reporting entity under these laws.
An integral part of the Manager’s acceptance of new investment business and the lending services it provides, is ensuring that all necessary compliance protocols are completed. These require obtaining greater levels of information concerning the identities of Investors and Borrowers, and the purposes of the investments and borrowings, than was previously the case. While this may be inconvenient in some cases, all Investors will be faced with similar requirements from other financial institutions, as New Zealand alters its practices to conform with international codes of practice which have already been in place in other jurisdictions for some time.
